Leeds-based accountancy and business advisory firm Hentons has advised the shareholders of Armour Communications on the company’s sale to secure technology specialist PentenAmio.
Hentons Corporate Finance acted as lead adviser throughout the transaction, providing strategic advice to Armour Communications’ shareholders and supporting the completion of the deal. The firm’s legal division also advised the shareholders across the legal aspects of the sale.
Armour Communications specialises in secure communications technology, with its solutions used by governments, defence organisations and businesses internationally.
The acquisition brings Armour together with PentenAmio following an eight-year working relationship between the two companies.
Combining the businesses is expected to strengthen PentenAmio’s capabilities across secure communications and Secure Mobility, while adding further specialist engineering expertise in areas including secure application development.
The transaction also represents the first acquisition completed since the formation of PentenAmio’s newly integrated business and forms part of its wider growth strategy.
Chris Sellars, Head of Corporate Finance at Hentons, led the advisory team on the transaction.
Hentons said the deal represented an opportunity for both businesses to combine complementary capabilities while continuing to develop new secure communications technologies for government, defence and enterprise customers.
For Hentons, the transaction adds to the activity of its corporate finance operation, which advises business owners and shareholders on mergers, acquisitions, disposals and other strategic transactions.
The deal also highlights the continued role Yorkshire-based accountancy and advisory firms are playing in transactions extending well beyond the region, as firms build specialist corporate finance capabilities alongside their traditional accountancy and tax services.
Hentons is headquartered in Leeds and provides accountancy, tax, corporate finance, legal, financial planning and business advisory services.
